On March 30, Longfor Group (09600.HK) announced that its major shareholders will make a no-cost donation of 100 million shares of the company’s stock to an employee trust based on the closing price from the prior trading day, with the donated shares valued at RMB 775 million.

The announcement shows that major shareholders, Charm Talent International Limited (hereinafter referred to as “Charm Talent”) and Junson Development International Limited (hereinafter referred to as “Junson Development”), each pledged to donate 60 million shares and 40 million shares, respectively, to the employee trust without consideration.

It is understood that the shares donated by the major shareholders at no cost will be included in Longfor Group’s “restricted share incentive plan,” and must comply with the restriction rules under the plan regarding grant and vesting.

The announcement said that this donation is intended to recognize and motivate Longfor Group’s core talent who, during industry downturn cycles, have steadfastly made the right choices based on the company’s long-term value. The arrangements for the donation reflect the major shareholders’ confidence in and support for the company’s long-term development. They aim to further reinforce the long-termism orientation among core talent and help the company achieve its mid- to long-term strategic objectives.

According to a prior announcement from Longfor Group, the announcement shows that Charm Talent is controlled by Cai Xinyi, the daughter of Wu Yajun, the chairman of Longfor Group’s board of directors. As of the end of June 2025, Charm Talent held 3.075 billion shares of the company, representing a 44.01% stake. Junson Development is held by Cai Kui, the father of Cai Xinyi. As of the end of June 2025, Junson Development held 1.397 billion shares of the company, representing a 20% stake.
