Shandong Tongda Island New Materials Co., Ltd. (hereinafter referred to as “the Company”) received today the resignation report from independent director Mr. Wang Jing. Mr. Wang Jing has applied to resign from his position as an independent director due to personal work arrangements, and also resigns as chairman of the Audit Committee and a member of the Nomination Committee. After resignation, he will no longer hold any position in the company. Mr. Wang Jing’s original term as an independent director was from May 12, 2023, to May 11, 2026.

Since this resignation will result in the number of independent directors being less than one-third of the board members, according to the “Company Law,” “Guidelines for the Management of Independent Directors of Listed Companies,” “Articles of Association,” and other relevant regulations, Mr. Wang Jing’s resignation report will take effect from the date the shareholders’ meeting elects a new independent director. Until a new independent director is elected, Mr. Wang Jing will continue to perform his duties as an independent director and in the special committees of the board in accordance with relevant regulations. The company’s board of directors will complete the election of new independent directors as soon as possible in accordance with relevant regulations.

As of the date of this announcement, Mr. Wang Jing does not hold any shares of the company and has no commitments to fulfill that have not been fulfilled.
