YZi Labs呼吁10X Capital及其董事Hans Thomas立即披露其对CEA Industries的实际所有权

PANews 2月18日消息，YZi Labs在官方博客中表示，已向10X Capital Asset Management及相关方发送正式信函，指控其涉嫌违反《1934年证券交易法》第13(d)条及第16(a)条，未按规定披露其对CEA Industries Inc.普通股的实际受益所有权。YZi Labs指出，根据公开信息，10X Capital自2025年底以来已实益持有BNC超过5%的流通普通股，但未提交Schedule 13D披露该持股集团的形成。同时，担任BNC董事的10X Capital创始合伙人Hans Thomas未向SEC提交Form 3，未履行第16(a)条规定的初始持股报告义务。 YZi Labs表示，其自身于2025年11月26日按时提交初始Schedule 13D，并在持股因公司回购及发行变动后及时提交修订文件。为在内华达州法律下维持同意征集流程及行使股东权利，YZi Labs选择与其他股东组成集团并按规定履行披露义务。YZi Labs投资合伙人Alex Odagiu强调，SEC披露规则并非“个人偏好”或“可选的内务管理”，而是任何希望担任上市公司董事者必须遵守的基本义务。YZi Labs呼吁10X Capital立即根据第13(d)条披露其对BNC的实际受益所有权，并要求Hans Thomas尽快提交Form 3披露其持股。
